1. Who we are

ClipCookie is a product of Dave Ying, a sole proprietor based in Singapore . "We", "us" and "our" mean Dave Ying. When you use ClipCookie, your agreement is with Dave Ying.

2. Agreeing to these terms

These terms apply to the ClipCookie desktop app, your ClipCookie account, ClipCookie Pro and this website (together, "ClipCookie"). By downloading, installing or using ClipCookie, you agree to these terms. If you do not agree, please do not use it. You must be old enough to form a binding contract where you live, or have a parent or guardian's permission.

3. Your content belongs to you

The videos, audio, images, projects, transcripts and exports you work with in ClipCookie ("your content") are yours. We do not claim any ownership of your content and you do not give us any licence to it. We do not use it, show it, sell it or train AI on it.

ClipCookie edits your files on your own computer. We do not upload, store or have access to your content. The Privacy Policy explains the optional services you can choose to use, such as cloud transcription or an AI assistant, which send data directly from your computer to that service.

4. Your responsibility for what you make

You are responsible for your content and how you use it, including making sure you have the rights and permissions you need for any footage, music, images or recordings of other people that you use or publish. We are not responsible for content you create, edit, export or share with ClipCookie.

5. Acceptable use

Please do not use ClipCookie to:

• break the law or help anyone else break it;
• infringe anyone's copyright, trademark, privacy or other rights;
• create sexual content involving minors, or intimate content of anyone without their consent;
• make deceptive content that impersonates a real person without their consent, or that is meant to defraud or mislead people in harmful ways;
• harass, threaten or promote hatred or violence against people;
• create or spread malware, spam or scams;
• interfere with, attack or overload our services, or get around licence or payment checks;
• copy, resell, reverse-engineer or redistribute ClipCookie, except where the law allows it.

6. AI features and transcription

ClipCookie can transcribe speech and work with AI assistants you connect. Transcripts and AI edits are made by software and can be wrong. Please review the results before you rely on or publish them. You are responsible for what you ask an AI assistant to do and for the results. Cloud transcription services and AI assistants are provided by third parties under their own terms, and we are not responsible for them or for what they do with data you choose to send them.

7. Our software

ClipCookie, including its code, design and name, belongs to Dave Ying. We give you a personal, non-exclusive, non-transferable licence to install and use ClipCookie under these terms. This licence does not give you any ownership of the software.

8. Your account

You need an account only to subscribe to ClipCookie Pro. You sign in with a one-time code sent to your email. Keep access to your email secure; you are responsible for activity on your account. Tell us at support@clipcookie.com if you think someone else has used it.

9. ClipCookie Pro, payments and cancellation

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders.

Paddle processes your payment, handles billing questions and charges any sales tax, VAT or GST that applies. Paddle's buyer terms also apply to your purchase.

• Plans: ClipCookie Pro costs $14 USD per month, or $120 USD per year, plus any applicable tax. Prices are shown before you pay.
• What you get: video export up to 4K for as long as your subscription is active. Everything else in ClipCookie stays free.
• Renewal: your subscription renews automatically at the end of each month or year, using your saved payment method, until you cancel.
• Cancellation: cancel any time from Account → Manage subscription in ClipCookie or from your Paddle receipt. You keep ClipCookie Pro until the end of the period you have paid for, and you will not be charged again.
• Refunds: see our Refund Policy.
• Price changes: if we change the price, we will tell you before it applies to your next renewal, so you can cancel first if you prefer.
• Failed payments: if a renewal payment fails, 4K export may pause until the payment is completed.

10. Copyright concerns

We do not host content made with ClipCookie, so we cannot remove it from anywhere it has been published. If you believe our website or the ClipCookie software infringes your rights, email support@clipcookie.com with the details and we will look into it promptly. We may end the accounts of people who repeatedly infringe others' rights.

11. Suspension and termination

You can stop using ClipCookie at any time. We may suspend or close your account, or stop providing ClipCookie Pro to you, if you seriously or repeatedly break these terms, do not pay, commit fraud, or put our services or other people at risk. Where it is reasonable, we will tell you first and give you a chance to fix the problem. If we close your account without cause, we will refund the unused part of any prepaid subscription.

12. No guarantees

We work hard to make ClipCookie reliable, but it is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free, or suitable for every purpose. Please keep backups of your files and projects. Some places do not allow these exclusions, so they apply only as far as the law allows.

13. Limit of liability

As far as the law allows, we are not liable for indirect or consequential losses, such as lost data, lost profits, lost revenue or missed deadlines, arising from your use of ClipCookie. Our total liability to you for any claim relating to ClipCookie is limited to the amount you paid us in the 12 months before the claim (or SGD 100 if you have not paid us anything). Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, or your rights as a consumer under the law where you live.

14. Claims about your content

If someone makes a claim against us because of content you created or shared with ClipCookie, or because you broke these terms, you agree to cover the reasonable costs and losses that result, as far as the law allows.

15. Changes to ClipCookie and these terms

We may update ClipCookie and these terms from time to time. If a change is important, we will tell you in the app, on this website or by email before it takes effect. If you keep using ClipCookie after a change takes effect, the new terms apply. If you do not agree, you can stop using ClipCookie and cancel ClipCookie Pro.

16. Governing law

These terms are governed by the laws of Singapore. Any dispute will be handled by the courts of Singapore, but this does not take away any right you have to bring a claim where you live under local consumer law. Please contact us first; most problems can be sorted out by email.

17. Everything else

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a term straight away, we can still enforce it later. You may not transfer these terms to someone else; we may transfer them if ClipCookie changes hands, and your rights will not be reduced.
